The reseller agrees to act
as a representative of the company in an effort to introduce new
clients to the Intelligent Email System. The reseller may introduce
a potential client to the system and company. The reseller may or
may not run live demos of the IES and open new sample accounts.
Whether or not the account is finalized by the reseller or the company;
once the new prospect is identified by name, employer, website,
or email address any resulting account or transaction will be commissionable
to the reseller. Commissions will be as follows: |

20% of the monthly service fee paid
by the client shall be paid to the reseller. This will continue
every month as long as the account remains active. |

Should that client lead to a subsequent
account the secondary account will be commissioned as follows -
10 % of the monthly fee to the reseller/10% to their client. Again
the commission will apply every month the account remains active. |

The reseller shall have access to those
accounts to verify their status. Commissions may fluctuate if a
client increases or decreases their monthly volume |

Commission checks will be issued no
later than 10 business days after payment is received from the client.
No payment will be issued until the client pays and the company
has no liability to the reseller in case the client defaults on
their obligation. |

Furthermore the reseller instead may
collect the monthly fee from their client, deduct 20%, and send
the remaining 80% to the company. |

Reseller is under no obligation to
promote the product at anytime and may cancel their agreement at
anytime. This agreement shall be in effect for one year and automatically
renew the same terms unless modified in writing by both parties.
In the event the year expires, the terms and commissions shall continue
until a new agreement is signed. |
